IMATA Logistics – Terms and Conditions (Updated)

These Terms and Conditions ("Terms") govern your use of the IMATA Logistics platform, website, and services operated by IMATA Logistics Nigeria Limited("IMATA", "we", "us", "Company").

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.

1. Definitions

  • "Platform": The IMATA Logistics website, mobile application, and all related systems and dashboards.
  • "User" / "Customer" / "Sender": Any individual or entity using the Platform to create, manage, or track shipments.
  • "Recipient": The intended receiver of a shipment.
  • "Shipment" / "Parcel": Any item tendered to IMATA for delivery.
  • "Rider": IMATA personnel or contracted delivery agents.
  • "Declared Value": The monetary value of a shipment declared at the time of booking.

2. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria, including: Companies and Allied Matters Act 2020 (CAMA); Federal Competition and Consumer Protection Act (FCCPA).

All disputes shall fall under the exclusive jurisdiction of the courts of Nigeria.

3. Service Description

IMATA provides domestic logistics and parcel delivery services within Nigeria, including:

  • Pickup and delivery coordination
  • Shipment tracking
  • Pricing estimates
  • Payment processing (via Paystack, bank transfer, or approved channels)
  • Rider assignment

Important

  • Delivery timelines are estimates only, not guarantees
  • We reserve the right to refuse, suspend, or modify services at our discretion

4. User Obligations

You agree to:

  • Provide accurate, complete, and current information
  • Ensure parcels are properly packaged and labelled
  • Ensure shipments do not contain prohibited items
  • Pay all applicable charges as required
  • Comply with all applicable Nigerian laws

Failure to comply may result in service refusal, cancellation, or liability.

5. Prohibited Items

You must not ship:

  • Explosives, flammable materials, or hazardous substances
  • Illegal drugs or controlled substances
  • Weapons or ammunition
  • Counterfeit or unlawful goods
  • Currency, high-value jewellery beyond declared limits
  • Live animals (unless explicitly approved)
  • Any item prohibited under Nigerian law

Enforcement

Violation may result in:

  • Shipment seizure
  • Account suspension or termination
  • Reporting to authorities

You bear full legal responsibility for prohibited shipments.

6. Packaging Requirements

You are responsible for ensuring adequate packaging.

Minimum requirements:

  • Secure outer packaging (sealed carton or equivalent)
  • Internal protection (e.g. bubble wrap, foam)
  • Proper labelling (including fragile items where applicable)

Failure to meet these standards voids damage-related claims.

7. Limitation of Liability

7.1 Liability Cap

To the fullest extent permitted by law, IMATA's liability for any shipment is limited to the lower of:

  • Amount paid for the shipment, OR
  • ₦50,000 per shipment

7.2 Declared Value

Compensation is based on the Declared Value provided at booking. If no value is declared, standard liability limits apply.

7.3 Excluded Damages

We are not liable for:

  • Loss of profit, revenue, or business
  • Indirect or consequential damages
  • Loss of data or goodwill

7.4 Exclusions

We are not liable for loss or damage caused by:

  • Nature or condition of goods
  • Inadequate packaging
  • Acts of God or force majeure
  • Actions of sender, recipient, or third parties
  • Compliance with legal or regulatory requirements

8. Indemnification

You agree to indemnify and hold harmless IMATA, its employees, riders, and affiliates from any claims, losses, or damages arising from: your use of the Platform; breach of these Terms; shipment contents; misrepresentation; third-party claims.

9. Force Majeure

IMATA is not liable for delays or failure caused by events beyond reasonable control, including:

  • Natural disasters
  • Civil unrest or government actions
  • Power or network failures
  • Labour disputes
  • Pandemics or emergencies

10. Payment Terms

  • All charges must be paid at booking or as agreed
  • Payments are processed via Paystack and bank transfer
  • All prices are in Nigerian Naira (NGN)

Non-payment may result in:

  • Service suspension
  • Shipment delays or cancellation

Refunds are governed by the IMATA Refund Policy.

11. Delivery Attempts & Service Conditions

  • Maximum of 2 pickup attempts
  • Maximum of 2 delivery attempts

Failure due to incorrect details or unavailability may result in:

  • Cancellation or return
  • Additional charges
  • Reduced or no refund

12. Dispute Resolution

In case of dispute:

  1. Contact IMATA for internal resolution
  2. If unresolved, proceed to mediation under Nigerian practice
  3. If mediation fails, dispute proceeds to Nigerian courts

You waive any objection to jurisdiction outside Nigeria.

13. Account Suspension & Termination

We may suspend or terminate accounts for:

  • Breach of Terms
  • Fraudulent activity
  • Abuse of refund system
  • Non-payment

Termination results in immediate loss of platform access.

14. Fraud & Abuse

We reserve the right to:

  • Investigate suspicious activity
  • Reject fraudulent claims
  • Restrict or suspend abusive accounts

15. Amendments

We may update these Terms at any time. Continued use = acceptance. Material changes will be communicated.

16. Severability

If any provision is invalid, remaining provisions remain enforceable.

17. Entire Agreement

These Terms, along with the Refund Policy, Compliance Statement, and Privacy & Data Policy, constitute the full agreement between you and IMATA.
